By accessing or using the Zala platform (website and mobile application), you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our services.</p>

<h3>2. Account Registration</h3>
<p>2.1. You may create an account on Zala irrespective of age, though minors should use the platform under parental/guardian supervision.</p>
<p>2.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.</p>
<p>2.3. You must provide accurate, current, and complete information during registration and keep your account information updated.</p>
<p>2.4. You agree to notify us immediately of any unauthorized use of your account.</p>
<h3>3. Products and Services</h3>
<p>3.1. Zala connects customers with various vendors who list and sell products through our platform.</p>
<p>3.2. Product availability, descriptions, and prices are provided by vendors and are subject to change without notice.</p>
<p>3.3. We strive to display product information accurately, but we do not guarantee that descriptions, images, or other content is error-free or complete.</p>
<p>3.4. Products are sourced primarily from Thailand and other countries, subject to availability and import regulations.</p>
<h3>4. Pricing and Fees</h3>
<p>4.1. <strong>Import Duties:</strong> All imported products are subject to import duty as per Bhutanese customs regulations. Currently, products from Thailand incur a 10% import duty. Products from other countries will be subject to applicable import duties based on current regulations.</p>
<p>4.2. <strong>Shipping Charges:</strong> International shipping charges apply and are calculated based on the Cubic Meter (CBM) volume of your ordered products. Customers can choose from multiple shipping methods:</p>

<li>Air Freight (fastest, higher cost)</li>
<li>Sea Freight (economical, longer delivery time)</li>
<li>Land Transportation (where applicable)</li>
</ul>
<p>Shipping costs will be clearly displayed before you confirm your purchase, allowing you to make an informed decision based on your preferred shipping method.</p>
<p>4.3. <strong>Delivery Charges:</strong> Local delivery charges within Bhutan are calculated based on the CBM of your order and the delivery location. Multiple delivery vendor options are available, each with different pricing and service levels. You have the right to choose your preferred delivery vendor, and associated costs will be clearly displayed during checkout.</p>
<p>4.4. <strong>Goods and Services Tax (GST):</strong> GST is applied on top of all charges including product price, import duties, shipping, and delivery fees as per Bhutanese tax regulations.</p>
<p>4.5. All pricing, including products, duties, shipping, delivery, and taxes, will be transparently displayed in the currency applicable in Bhutan before you complete your purchase.</p>
<h3>5. Orders and Payment</h3>
<p>5.1. By placing an order, you make an offer to purchase products subject to these Terms and Conditions.</p>

<h3>6. Order Cancellations by Vendors/Admin</h3>
<p>6.1. Vendors or platform administrators reserve the right to cancel any product in an order at any time for reasons including but not limited to:</p>

<li>Stock unavailability</li>
<li>Product discontinuation</li>
<li>Pricing errors</li>
<li>Supplier issues</li>
<li>Force majeure events</li>
</ul>
<p>6.2. <strong>Refund Policy for Vendor/Admin Cancellations:</strong> In the event that a vendor or administrator cancels any product from your order, you will receive a full refund for that product, including:</p>
<ul>
<li>Full product cost</li>
<li>Proportional share of import duties</li>
<li>Proportional share of shipping charges</li>
<li>Proportional share of delivery fees</li>
<li>Proportional share of GST/taxes</li>
</ul>
<p>Refunds will be processed to your original payment method or Zala wallet within 7-14 business days.</p>
<p>6.3. If a cancellation results in your entire order being cancelled, you will receive a 100% refund of all charges paid.</p>
<h3>7. Defective or Damaged Products</h3>
<p>7.1. If you receive a defective, damaged, or incorrect product, please contact our customer support immediately with photographic evidence.</p>
<p>7.2. Each case will be evaluated on an individual basis, and appropriate resolution will be provided, which may include:</p>
<ul>
<li>Product replacement</li>
<li>Partial or full refund</li>
<li>Store credit</li>
</ul>
<p>7.3. Claims must be made within 7 days of delivery receipt.</p>
<h3>8. Shipping and Delivery</h3>
<p>8.1. Delivery timeframes are estimates and may vary based on:</p>

<li>Chosen shipping method (air, sea, land)</li>
<li>Customs clearance processes</li>
<li>Delivery location within Bhutan</li>
<li>Weather conditions or other unforeseen circumstances</li>

<p>8.2. You will receive tracking information to monitor your shipment status.</p>
<p>8.3. Risk of loss and title for products pass to you upon delivery to the delivery vendor.</p>

<li>Interfere with the proper functioning of the platform</li>
<li>Attempt to gain unauthorized access to any part of the platform</li>
<li>Upload malicious code or engage in any activity that could harm the platform or other users</li>
<li>Post false, misleading, or fraudulent content</li>

<h3>10. Intellectual Property</h3>
<p>10.1. All content on the Zala platform, including but not limited to text, graphics, logos, images, and software, is the property of aBit Ltd or its content suppliers and is protected by intellectual property laws.</p>
<p>10.2. You may not reproduce, distribute, modify, or create derivative works from any content without our express written permission.</p>
<p>10.3. Product images and descriptions provided by vendors remain the property of respective vendors.</p>
<h3>11. Reviews and Comments</h3>
<p>11.1. You may post reviews, comments, and feedback on products and services.</p>
<p>11.2. By posting content, you grant us a non-exclusive, royalty-free, perpetual license to use, display, and distribute such content.</p>
<p>11.3. We reserve the right to remove any content that violates these terms or is deemed inappropriate.</p>
<h3>12. Limitation of Liability</h3>
<p>12.1. To the fullest extent permitted by law, aBit Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the platform.</p>
<p>12.2. Our total liability for any claims related to the platform shall not exceed the amount you paid for the products in question.</p>
<p>12.3. We are not responsible for delays or failures caused by circumstances beyond our reasonable control.</p>

<p>You agree to indemnify and hold harmless aBit Ltd, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the platform or violation of these Terms and Conditions.</p>

<p>14.1. We reserve the right to suspend or terminate your account at any time for violation of these Terms and Conditions or for any other reason at our sole discretion.</p>
